The agreement by which two businesses, before working together, undertake to keep confidential the information they exchange: the purpose, what is and is not confidential, use only for that purpose, who may see it, how long the duty lasts, return or destruction, and a penalty clause. Greek Law 4605/2019, which transposes the EU Trade Secrets Directive, protects as a trade secret only information whose holder took reasonable steps to keep it secret — and this agreement is one of those steps.

- Why sign a confidentiality agreement when Greek Law 4605/2019 already protects trade secrets?
- Because the Act protects only information that is secret, has commercial value because it is secret, and whose holder took reasonable steps to keep it secret. The agreement is evidence of such steps, and it also covers information that may not be a trade secret but that the businesses want kept between them. It also sets the purpose for which the information may be used.
- What does a penalty clause add to a confidentiality agreement?
- A sum owed for each breach without having to prove loss, which in information leaks is usually hard to prove. The agreement provides that the penalty does not rule out damages for greater loss, nor the remedies of Greek Law 4605/2019, such as an order to stop using the information. Set an amount in line with the information's value: an excessive one may be reduced by the court.
- How do two companies in different cities sign the confidentiality agreement?
- Their legal representatives can sign it free on docs.gov.gr through the certification service for private agreements: one uploads the PDF and names the other by AFM, and each signs with their Taxisnet credentials. The certification has the force of a signature authenticated at a KEP (citizen service centre), but it is not a qualified electronic signature. Alternatively, both sign with a qualified electronic signature.
