The statement of a person appointed to a Polish company's management board, attached to the KRS filing: consent to the appointment and the role, the address for service required by art. 19a of the National Court Register Act, and a statement that none of the bars in art. 18 of the Commercial Companies Code applies. Must the board member's consent always be attached to the KRS filing?

Not always. Consent is not attached where the application is signed by the appointee or by whoever authorised its filing, or where consent was given in the minutes of the appointing body or in the articles (art. 19a of the National Court Register Act). The address for service, however, must always be given.

What address for service should be given in the KRS statement?

An address where post can reliably be received — it need not be a home address, and an office address works. The registry court and other authorities send documents there, and a letter sent to the registered address may be treated as delivered even if nobody collects it, so every change must be filed with the register.

How should consent to a board appointment be signed for the KRS?

The simplest way is electronically — with a qualified, trusted or personal signature — since KRS applications are filed only through the Court Registers Portal. A statement signed by hand can be attached as a scan, but then its paper original must reach the registry court within 3 days of filing.
