- Why is this declaration required of a managing director?
- Because the law sets conditions on who may be a managing director, and the declaration certifies that the person meets them. It is submitted when a new managing director is entered in the register.
- What am I declaring in it?
- That none of the bars the law lays down for holding the post applies. Read them before signing — the declaration is signed under liability, not as a formal attachment.
- Does each managing director sign separately?
- Yes — where there are several, each declares for themselves. The circumstances are personal and cannot be certified by anyone else, including by the owner of the capital.
- Is this declaration notarised like the specimen signature?
- Usually the declaration is filed without notarisation, while the consent and the specimen signature are notarised. Check the current requirements for the particular entry before filing the pack.
