Common questions
- Why does this binding offer only work up to 2,000 euros?
- Because when the amount in dispute exceeds 2,000 euros, Spain's Organic Law 1/2025 requires the parties using this route to be assisted by a qualified lawyer (art. 6.2). What counts is the amount in dispute, not the amount you offer. Up to that figure, any individual, self-employed person or business can make the offer on their own. If your dispute exceeds 2,000 euros, do not use this document: consult a professional or use direct negotiation with the matching demand letter.
- What happens if the other side does not answer the binding offer?
- If it does not accept expressly within a month of receiving it, the offer counts as rejected and the requirement of having tried a suitable dispute-resolution step before going to court is met (art. 17 of Spain's Organic Law 1/2025). Proving the sending and receipt is enough, without revealing the content: that is why a burofax with certified content and acknowledgement of receipt is advisable.
- What happens if the other side accepts the offer?
- The offeror is bound to perform it on the terms offered, and the acceptance is irrevocable: the other side cannot back out. The acceptance must be express and sent by a means proving receipt and content; the document carries the acceptance at the foot, to be signed and returned. If the offer is then not performed, performance can be claimed.
