Shareholders' resolution adopting a GmbH's annual accounts and using the profit (Germany)
A resolution or minutes of the shareholders' meeting of a German GmbH or UG (haftungsbeschränkt) adopting the annual accounts, deciding how the result is used — distribution, carry-forward, reserves, with the statutory reserve of a UG — and on the managing directors' discharge, with the vote on each item. For a meeting, a video meeting, a resolution in text form without a meeting and a sole shareholder. Landlord's confirmation of moving in or out (Germany)
The written confirmation a person moving in needs to register their address in Germany. Under § 19 of the Federal Registration Act (BMG), the housing provider (Wohnungsgeber) — the landlord, a main tenant who sublets, or the property manager acting for them — must give it within the two weeks allowed for registering. It contains what the Act requires: the provider's name and address, the owner's name if someone else owns the flat, moving in or out with the date, the flat's address and the names of everyone registering. Shareholders' resolution to dissolve a GmbH and appoint liquidators (Germany)
The resolution by which the shareholders of a German GmbH or UG (haftungsbeschränkt) dissolve the company and name the liquidator, with the liquidator's power of representation and acceptance, the call to creditors, the one-year blocking period and who keeps the books. Three quarters of the votes cast, no notarial form (§ 60(1) no. 2 of the German Limited Companies Act, GmbHG); a meeting, a video meeting or a resolution in text form without a meeting. Acknowledgement of debt (Germany)
A written acknowledgement under German law in which a debtor confirms owing a creditor a stated sum, with the reason for the debt, the due date or instalments, the creditor's account and an acceleration clause. It creates the duty to pay in its own right and restarts the limitation period. Important: it is valid only if printed on paper and signed by the debtor by hand — § 781 of the German Civil Code (BGB) excludes the electronic form, so an e-mail, a scan or any electronic version is void. Inventory of the spouses' starting assets (Germany)
A joint list, drawn up by both spouses in Germany, of what each owned and owed on the wedding day, plus inheritances and gifts received during the marriage, with values. Under § 1377 of the German Civil Code (BGB), an inventory the spouses draw up together, dated and signed by both, is presumed correct between them; without one, everything a spouse owns at the end is presumed to be gain when the gains are equalised on divorce. No notary needed. Separate property or another regime needs a notarised marriage contract, which this is not. In German.
Vehicle handover record for a private car sale (Germany)
A handover record for a car sold privately in Germany, the companion to the sale contract. It records the date and hour of handover, the mileage, the fuel or charge level, visible damage, the keys and papers handed over (registration certificate Parts I and II, roadworthiness test report) and the price paid. It matters because tax, insurance and the registration stay with the seller until the notice of sale reaches the registration office. In German, for seller and buyer to print and sign.

A shareholders' resolution of a German GmbH or UG (haftungsbeschränkt) appointing, removing or replacing a managing director (Geschäftsführer), with the new director's acceptance. For a shareholders' meeting, a video or phone meeting, a resolution in text form without a meeting (§ 48(2) of the German Limited Companies Act, GmbHG, since 2025) and a sole shareholder. Carer directive: wishes for a court-appointed carer (Germany)
The German Federal Ministry of Justice publishes a free model of the Betreuungsverfügung; this document is our own wording. You set out whom the guardianship court should appoint as your legal carer, who comes second and whom you reject, and record your wishes on housing, care and daily life. The court must follow your proposal unless the person is unsuitable (§ 1816(2) of the German Civil Code, BGB), and the carer must follow your wishes (§ 1821 BGB). Move-out handover record for a rented flat (Germany)
The record a landlord and tenant in Germany sign when the tenant hands back a rented flat: meter readings for the final bill, every key returned, the condition of each room, the damage the landlord points out beside the tenant's comments on it, anything agreed, and the tenant's new address and account for the deposit. The handover date matters: under § 548 of the German Civil Code (BGB), the landlord's claims for changes to or deterioration of the flat lapse six months after it is returned. Move-in handover record with inventory and key list (Germany)
The record a landlord and tenant in Germany sign when a rented flat is handed over at move-in: meter readings for electricity, gas, water and heating, every key handed over, the condition of each room and an inventory of what is let with the flat. Defects already there are accepted only with the tenant's rights reserved — under § 536b of the German Civil Code (BGB), a tenant who takes over a flat knowing of a defect otherwise loses rent reduction and damages for it.
