Resolution to apply to strike off a dormant company (Cyprus)
Why it matches: Your company in Cyprus has had no activity for a long time and you want it struck off.
Cyprus · in Greek
The resolution by which a dormant Cypriot company asks the Registrar of Companies to strike it off the register under section 327 of the Companies Law, Cap. 113: the company's details, the date since which it has had no activity, a statement that it has no assets or debts and has met its obligations, who files the application, and the signatures. The Registrar publishes the coming strike-off in the Official Gazette, and the company is struck off three months later if no one objects. A company with assets or debts needs a liquidation by a licensed insolvency practitioner instead.
IKE partners' resolution approving the closing liquidation balance sheet (Greece)
Why it matches: The liquidation of your private company (IKE) in Greece is finished and you want it struck off the register.
Greece · in Greek
The minutes by which the partners of a Greek private company (IKE) in liquidation approve the closing balance sheet and the liquidator's work, decide how what remains is shared, discharge the liquidator, name who keeps the books and ask for the company to be struck off. Without this approval the IKE is not deleted from GEMI, the Greek business register. It is taken at a meeting called on 8 days' notice or in minutes signed by every partner.
Business-to-business services agreement (Cyprus)
Why it matches: You want a services agreement covering fees plus VAT, confidentiality, liability and how to end it.
Cyprus · in Greek
An agreement between two businesses in Cyprus for the supply of services under the Contract Law, Cap. 149: the services and what is excluded, term, fee plus VAT, invoicing and payment terms, complaints and corrections, independent performance, confidentiality, intellectual property in the deliverables, a liability cap and termination. Late payment carries the interest (ECB reference rate plus eight points) and the €40 of Law 123(I)/2012. It has no non-compete, which section 27 of Cap. 149 makes void, with narrow exceptions, and it needs no stamp duty.
Independent contractor agreement (Cyprus)
Why it matches: You want an independent contractor agreement covering confidentiality and how either side can end it.
Cyprus · in Greek
A Cypriot business's agreement with a self-employed person who provides services as an independent contractor: the services, independence over when, where and how the work is done, tax and Social Insurance as the contractor's responsibility, fee and invoicing, expenses, confidentiality, intellectual property and termination. The label alone is not enough: if in practice the contractor works like an employee, the relationship may be treated as employment, so the agreement sets out how the work is actually done. It has no non-compete (section 27 of Cap. 149).
Freelance services contract with a self-employed professional (Greece)
Why it matches: You want a freelance services contract that also covers confidentiality, copyright and how it can be ended.
Greece · in Greek
A business's contract with a freelancer in Greece: the services, independence in time, place and means, the fee, invoicing, confidentiality, copyright and termination. The independence terms matter: under Greek Law 2639/1998 the contract is presumed to hide employment if the freelancer works personally, exclusively or mainly for the same client for nine consecutive months. It records whether the freelancer has only one or two clients, in which case they are insured like an employee (Law 4387/2016, art. 39(9)), and whether the 20% tax withheld on invoices above €300 applies (art. 64 of Law 4172/2013).
Contract for work or services between businesses (Greece)
Why it matches: You want to make clear whether the contractor owes a finished result or only careful work, and who answers for defects.
Greece · in Greek
A contract between businesses in Greece for a piece of work or for services: what is and is not included, timing, the fee with e-invoicing, acceptance and objections, liability and its cap, copyright, termination. It states at the outset whether the contractor owes a result (a contract for work under art. 681 of the Greek Civil Code) or only careful performance of services — the choice that decides liability for defects. Late payment carries the interest and the €40 of Greek Law 4152/2013.
IKE partners' resolution to dissolve and liquidate the company (Greece)
Greece · in Greek
The minutes by which the partners of a Greek private company (IKE) dissolve it, put it into liquidation and appoint a liquidator: the liquidator's details with father's name and AFM, pay, the work from the opening balance sheet to the distribution, the signature accepting the role and authority to file with GEMI. Dissolution needs 2/3 of all the shares, at a meeting called on 8 days' notice or in minutes signed by every partner, and takes effect from its announcement in GEMI. The liquidation ends with a second resolution, approving the closing balance sheet.
IKE partners' resolution appointing and removing the manager (Greece)
Greece · in Greek
The minutes by which the partners of a Greek private company (IKE) appoint a new manager (diacheiristis) and, where needed, remove the previous one: the manager's details with father's name and AFM, term, pay, any special rules on their powers, the signature accepting the role and authority to file with GEMI. The manager must be an individual, partner or not, and is appointed by a majority of all the shares, at a meeting called on 8 days' notice or in minutes signed by every partner.
