Company minutes, business contracts and invoices in Spain
In a Spanish limited company, changes are decided at a members' meeting and proved with a certificate. The minutes removing and appointing a director are filed with the Registro Mercantil within ten days of acceptance (art. 215 of the Companies Act), and accounts approved at the annual general meeting are filed within the following month (art. 279). The directors may move the registered office within Spain unless the articles expressly deny them that power (certificate of the move). Deeds and registration are the notary's and the registrar's work, including after the dissolution meeting.
The documents are in Spanish, under Spanish law, and each page describes its document in English. Between businesses the statutory payment term is thirty days and an agreed one cannot exceed sixty (Law 3/2004), as the services contract between businesses and the contract with a self-employed professional provide. To get paid, first the reminder, then the demand by burofax with the invitation to negotiate that Organic Law 1/2025 has required since 3 April 2025; the payment-order application is a free CGPJ form. A dispute of up to 2,000 euros can be closed with a confidential binding offer.
The PDF invoice and corrective invoice suit those invoicing without software; the tax agency offers its VERI*FACTU application free, from 2027 invoicing software must meet Verifactu, and in the Basque Country invoices go through TicketBAI. To set up an association there are the founding act and statutes under Organic Law 1/2002. The texts are up to date as at 19 October 2026 and are not official documents: DocMuse is a private paid service.
