Common questions
- Can I end a contract between businesses in Spain for breach without going to court?
- In contracts with mutual obligations, the party that performs may choose to end it if the other fails to perform (art. 1124 of the Spanish Civil Code), and does so by notifying the other party, as in this letter. If the other party rejects the termination and disputes that the breach is serious, the courts will decide. Describe the breach with facts and dates, and keep the evidence.
- Must I respect the contract's notice period to end it?
- If you end the contract without any breach by the other party, yes: you must use the right the contract itself gives you and respect its notice period or end date. Ending it early without that right may oblige you to compensate the other party. State in the letter the clause relied on and an effective date that respects the agreed notice.
- Why is the termination letter sent by burofax rather than by e-mail?
- Because a burofax with certified content and acknowledgement of receipt proves what was notified and when the other business received it, and the effective date and the notice period depend on that receipt. If you later want to claim money or damages, before going to court you must try to negotiate as Spain's Organic Law 1/2025 requires, with a separate demand, also by burofax.
