For a business or professional wanting to leave a contract with a supplier in Italy (cleaning, software, equipment rental, maintenance): a letter in Italian exercising the withdrawal the contract provides (art. 1373 of the Italian Civil Code), citing the clause, the notice, the effective date and the requests to close the relationship: final invoice, collection of equipment, return of data, an end to direct debits. Sent by PEC to the supplier's address in INI-PEC or by registered post. If the contract allows no withdrawal, this letter is not enough.

Common questions

Can a business withdraw from a supplier contract whenever it likes in Italy?
Only if the contract gives it a right of withdrawal, in the way and with the notice it sets (art. 1373 of the Civil Code), or if the law grants one: for example the client in a contract for works or services may withdraw at any time but must compensate the contractor for costs, work done and lost profit (art. 1671). In a fixed-term contract with no withdrawal clause, one can leave only by agreement with the supplier or for breach. The letter cites the contract clause.
Should a withdrawal between Italian businesses be sent by PEC?
It should be sent in the form the contract requires; if the contract says nothing, PEC is the safest route between businesses, because every company has a PEC address in the INI-PEC register and the delivery receipt has the value of registered post with proof of receipt (art. 48 of the Italian Digital Administration Code). Notice runs from delivery. Keeping the receipt and a copy of the letter helps if the date is disputed.
Does withdrawal between businesses follow the Italian Consumer Code?
No. The 14-day right of withdrawal, the withdrawal button and the other Consumer Code protections apply to consumers, not to those buying for their business or profession. Between businesses what counts is the contract, read with the Civil Code: notice, any fee for early withdrawal, automatic renewal. If the contract renews itself, the notice must be sent before the stated deadline, so as not to be bound for another period.
