Common questions

What is the payment term between businesses in Italy?
If the contract says nothing, 30 days from receipt of the invoice or of the service (Legislative Decree 231/2002). The parties may agree a different term, but more than 60 days only expressly and if not grossly unfair to the creditor. From the day after the due date, late-payment interest runs automatically at the ECB reference rate plus eight points, and a flat €40 for recovery costs is due. The document lets you choose the term in days.
Why does the Italian services contract have a second signature for withdrawal?
When one party offers the other a pre-drafted contract, the clauses listed in art. 1341 of the Italian Civil Code, including a right to withdraw, are valid only if specifically approved in writing. That is why the document lists the withdrawal clause by number and content and asks both parties for a separate signature. The contract has no exclusive jurisdiction, penalty or limitation-of-liability clauses; anyone adding them must also add them to the specific approval.
Must the service provider issue an electronic invoice in Italy?
Yes, if it holds a VAT number: in Italy an invoice between businesses can only be issued electronically through the Agenzia delle Entrate's Exchange System (SdI), flat-rate taxpayers included since 1 January 2024. A PDF or paper document is not a valid invoice. The contract refers to this duty; the payment term runs from receipt of the electronic invoice.
