Services agreement (Romania)

The agreement by which a provider — a company or a registered sole trader — performs services for a client in Romania: what is and is not included, the term, the price and payment term, invoicing through RO e-Factura, acceptance and objections, the liability cap, force majeure and termination. Which law governs a services agreement in Romania?

The Civil Code: the general rules on contracts and those on the antrepriză contract, which in Romania covers performing a service as well as a work (art. 1851). The agreement sets the services, price, payment term, acceptance, liability and termination — the matters the law leaves to the parties.

How are services invoiced in Romania?

Through the RO e-Factura system, mandatory between businesses since 2024 and for invoices to consumers since 2025. The invoice is issued after the service or periodically, as the agreement provides, and VAT is added only if the provider is VAT-registered.

Can the provider's liability be capped?

Yes, by an express clause — at the contract value, for example. The law does not, however, allow liability for loss caused intentionally or through gross negligence to be excluded or limited (art. 1355 of the Civil Code), and a cap in a contract with a consumer may be an unfair term.
