Common questions

What is the longest payment term businesses can agree in Spain?
If nothing is agreed, thirty calendar days from delivery of the goods or performance of the services; an agreement can extend it to sixty days, never more (art. 4 of Spain's Law 3/2004). Once the term passes, the debt bears the statutory late-payment interest without notice, the European Central Bank rate plus eight points, published each half-year in the BOE, plus 40 euros of recovery costs per invoice (art. 8).
Must the services contract be signed before a notary or registered in Spain?
No. It is a private contract binding from the moment the parties sign it; it is signed in two copies and each party keeps one. It can be signed by hand or electronically, for example with a company representative's certificate. If a party wants stronger proof of the date against third parties, the signatures can be certified by a notary, but that is not required.
May the client company give direct orders to the provider's staff?
It should not. If the client directs the provider's staff as if they were its own, the arrangement may be treated as an unlawful supply of workers (art. 43 of Spain's Workers' Statute), with liability for both companies. That is why the contract says the provider organises its work and that instructions go through its own managers.
