Running a company in England: resolutions, contracts, invoices and debts

Companies House filings are made online, and most are free: a new registered office on form AD01, a new director on AP01 once they have verified their identity with Companies House, and a departing one on TM01, each within 14 days where a deadline applies. What the company keeps for itself is the decision behind the filing: the resolution moving the registered office, the resolution appointing a director with the consent to act, the minutes of a board meeting, kept for ten years, and the shareholders' written resolution, which lapses after 28 days unless the articles say otherwise. A solvent company that has stopped trading can apply to be struck off on form DS01 after the directors' resolution to close it.

Between businesses, the contract is what the parties sign. The services agreement and the freelance consultancy agreement set out the work, the fees, payment terms, who owns the work and a cap on liability; a mutual non-disclosure agreement protects what each side shows the other before a deal, and a notice terminating a business contract ends one on its own terms. A director leaving the board resigns by letter.

An invoice carries a unique number, both parties and the payment details, and a VAT-registered business adds the details HMRC requires. When a company does not pay, the Late Payment of Commercial Debts (Interest) Act 1998 adds interest at 8% above the Bank of England reference rate and a fixed sum of £40 to £100; the letter before claim to a company gives 14 days before a claim through the court's Money Claim Online service. The documents follow the law of England and Wales as at 28 October 2026.
