Company articles, members' decisions, invoices and business contracts in France
In France every company formality is done online on the one-stop business formalities portal run by the INPI, with a notice in a legal-notices medium. DocMuse supplies the deed the portal asks for, never the filing. The standard articles for an SASU and an EURL suit a single member contributing cash, those for an SCI two to four members buying a property. They cover no contributions in kind and no tailored clauses. Minutes then record the move of the registered office, a change of officer and the approval of the accounts within six months of the year end.
The documents are written in French, under French law, and each one's page describes it in English. Between businesses an invoice is paid at most sixty days after it is issued, and any delay makes penalties and a flat €40 indemnity per invoice due without a reminder. The invoice already carries the new details of the e-invoicing reform. Large companies have issued through an approved platform since 1 September 2026; SMEs and micro-enterprises will do so from 1 September 2027. The reminder comes before the formal demand, sent by registered post, ahead of an order for payment.
The service agreement frames an assignment between two businesses. The contract with an independent leaves them their hours, methods and other clients, failing which the relationship can be reclassified as employment, and from €5,000 the client asks for the URSSAF vigilance certificate every six months. The confidentiality agreement protects exchanges before a project. To close a company that can pay its debts, the early dissolution opens the winding-up, which the closing minutes end. Nobody at DocMuse reviews your situation.
