Common questions
- Who appoints and removes the president of a French SAS or the manager of an SARL?
- In an SAS or SASU, the articles set who appoints and removes the president, and on what terms (article L. 227-5 of the Commercial Code). In an SARL, the manager is appointed and removed by a decision of the members taken by the majority of article L. 223-29 of the Commercial Code, unless the articles require a larger majority for removal; removal without just cause may give a right to damages (articles L. 223-18 and L. 223-25). In an EURL the sole member decides.
- Which documents are needed to declare a new officer in France?
- The change is declared online on the one-stop business formalities portal, with these minutes, a copy of the new officer's ID, their sworn declaration of no conviction and of parentage, and the certificate that the notice appeared in a legal-notices medium. If the articles name the officer, they are updated and filed too.
- Does a manager's or president's resignation also go through these minutes?
- The resignation is the act of the person leaving, notified to the company in the form and with the notice the articles provide. These minutes take note of it, fix the date the office ends and appoint the successor, as the company cannot be left without an officer. For a removal, choose “révocation”; for a fixed term that has run out, “arrivée du terme du mandat”.
