For recording the move of the registered office of a French SAS, SASU, SARL or EURL, by decision of the sole member, the members' meeting or a deed signed by all, or for ratifying a move decided by the manager. The minutes give the old and new address, the date it takes effect and the new wording of the article of the articles of association. The change is then declared online on the one-stop business formalities portal, with the legal notice and proof of the new premises. Does not cover a move abroad, or a decision of an SAS president whom the articles empower to move the office. In French.

Common questions
- Who decides to move the registered office of a French SAS or SARL?
- In an SAS or SASU, the articles say who decides: the sole shareholder, the shareholders or the president. In an SARL, the manager may move the office within France, subject to ratification by the members, unless the articles exclude this; otherwise the members decide by amending the articles. In an EURL the sole member decides alone. Check your articles before filling in these minutes, which record the members' decisions, not the president's.
- What formalities follow a registered office move in France?
- The change is declared online on the one-stop business formalities portal, with these minutes, the updated articles, proof of occupation of the new premises (lease, domiciliation contract or certificate) and the certificate that the notice appeared in a legal-notices medium. If the office moves to another registry's area, one notice appears in the old office's département and another in the new one's. Remember also to tell your customers, your bank and the tax authority.
- Who signs the minutes of the move, and in how many copies?
- In a one-member company, the sole member signs the decision, which is entered in the register of decisions. At a meeting, an SARL's minutes are signed by the manager or managers and by the chair (article R. 223-24 of the Commercial Code); an SAS's as its articles provide. A deed signed by all is signed by every member. The original stays in the company's register; a copy certified by the legal representative is filed on the one-stop portal.
