The decision of the sole member, or the resolution of the general meeting, by which a Moldovan limited liability company (SRL) changes its registered office (Law no. 135/2007, Civil Code art. 183). It approves the new address, states the company's right to use the premises — a lease, a loan for use or ownership — amends the act of incorporation where it states the office, and empowers someone to register the change with the Public Services Agency (ASP) and publish the notice in the Official Gazette. ASP's application form is free on asp.gov.md.

Common questions
- Who approves moving a Moldovan SRL's registered office?
- The members: the sole member by a decision, or the general meeting by a resolution, under Law no. 135/2007 and the act of incorporation. How many votes are needed is set by the law and the act of incorporation, so read it before the vote. The document lets you choose the heading — DECIZIA or HOTĂRÂREA — and records who voted and how.
- Where is a Moldovan SRL's new registered office registered?
- With the Public Services Agency (ASP), in the State Register of legal entities. ASP publishes its application forms and the list of documents for each change free on asp.gov.md. The new office binds third parties from registration (art. 183(2) of the Moldovan Civil Code), and the company publishes a notice of the change in the Official Gazette (art. 183(5)); ASP's offices also take requests to publish it. The person this document empowers signs and files the papers.
- Why does the Moldovan resolution state the right to use the new office?
- To show on what basis the company uses the premises at the new address: a lease (contract de locațiune), a loan for use (comodat) or ownership. The resolution names it, and the deed itself is kept with the resolution so that it can be shown when asked. That is why the agreement for the premises is signed before the resolution is adopted.
