Common questions
- Who appoints the administrator of a Moldovan SRL?
- The members: the sole member by a decision, or the general meeting by a resolution, under Law no. 135/2007 and the act of incorporation, which also sets how many votes are needed. The same act can remove the previous administrator, without a reason or notice; if that administrator has an employment contract with the company, it ends the same day (art. 200 of the Moldovan Civil Code). The document records the term of office and the pay as the members set them.
- Where is a Moldovan SRL's new administrator registered?
- With the Public Services Agency (ASP), in the State Register of legal entities, where the administrator appears with his or her IDNP beside the company's IDNO. ASP's application forms are free on asp.gov.md; the application, with the resolution and proof of the registration fee, is filed at an ASP office by the person the resolution empowers (art. 201 of the Moldovan Civil Code). Once registered, third parties may rely on the appointment (art. 177(4)).
- Why does the new administrator of a Moldovan SRL sign an acceptance?
- The appointment binds the administrator to run the company and answer for his or her acts, so the consent must be on record. The statement at the end of the document shows that the administrator accepts the post on the terms set; it is signed by the administrator, apart from the members, and banks and partners may ask for it with the resolution.
