The decision of the sole member, or the resolution of the general meeting, by which a Moldovan limited liability company (SRL) is dissolved and goes into voluntary liquidation (Civil Code arts 223–237, Law no. 135/2007). It designates the liquidator — a Moldovan citizen living in Moldova — and sets the pay, and lists the tasks: registration with the Public Services Agency (ASP), the notice in the Official Gazette, the two months for claims, the liquidation balance sheets, paying the debts, sharing out what remains and removal from the register. The liquidator files it with ASP.

Common questions
- How does the voluntary liquidation of a Moldovan SRL begin?
- With the sole member's decision, or the general meeting's resolution, to dissolve the company, which designates the liquidator. The Moldovan Civil Code has the company's executive body file the application to register the dissolution and the liquidator notify their designation (arts 226(1) and 227(2)); the Public Services Agency takes the application, on its form, from the liquidator, with this act and proof of the registration fee; after a general meeting, its minutes are attached too (art. 226(1)). How many members must vote for it is set by Law no. 135/2007 and the company's act of incorporation.
- What do the members of a liquidated Moldovan SRL receive?
- Only what is left once the liquidator has paid the company's creditors, shared in proportion to each member's holding in the share capital (art. 234 of the Moldovan Civil Code), no sooner than 30 days after the final liquidation balance sheet is approved (art. 236). The company is struck off two months after the notice at the earliest, and only with no debts to the national public budget. What each member receives may have tax consequences under the Moldovan Tax Code.
- What does the liquidator of a Moldovan SRL do until the company is struck off?
- The liquidator must be an adult Moldovan citizen living in Moldova and not under a judicial protection measure (art. 227 of the Moldovan Civil Code). The liquidator publishes the notice in the Official Gazette, tells known creditors within 15 days, who have two months to claim, draws up the liquidation balance sheets, files for insolvency if liabilities exceed assets, pays the debts, shares out what remains and asks for removal from the register.
