Mutual non-disclosure agreement (umowa o zachowaniu poufności)
A mutual NDA for two businesses in talks about cooperation, an investment or a deal: the purpose, a definition of confidential information linked to trade secrets under Polish law, the exceptions, rules on access and protection, return of materials, how long it lasts after the talks, and a contractual penalty with the right to claim damages above it. It creates no obligation to sign anything further.
Contract for a specific work (umowa o dzieło)
A Polish contract for a specific, verifiable result — a design, a text, software, an object: the work and its requirements, the deadline, a lump-sum fee in words, acceptance by protocol, remedying defects and warranty, the right to withdraw for delay, and transfer of copyright on the named fields of exploitation. It reminds a business client to report the contract to ZUS on the RUD form.
Pre-action demand for payment between businesses (Poland)
A creditor business's demand to a trading partner for overdue invoices: the principal, the list of invoices, statutory late-payment interest for commercial transactions and the fixed compensation for recovery costs — the equivalent of 40, 70 or 100 euro per payment — the deadline and the account. It is the attempt at amicable settlement the court asks about when a claim is filed (art. 187 § 1(3) of the Code of Civil Procedure).
Minutes of an annual shareholders' meeting with resolutions (Poland)
Minutes of the annual shareholders' meeting of a Polish limited company with the three resolutions art. 231 of the Commercial Companies Code requires: approving the financial statements and the management report, distributing profit or covering a loss, and discharging the board members. It records the chair's election, the meeting's capacity to pass resolutions, the agenda and the votes. The meeting must be held within 6 months of the financial year's end.
Service agreement between businesses (umowa o świadczenie usług)
An agreement between Polish businesses for ongoing or periodic services — IT, marketing, accounting, consulting: the scope and what falls outside it, the term, the net fee plus VAT, payment within no more than 60 days, invoices in the national e-invoicing system (KSeF), professional diligence, confidentiality, a liability cap and termination. The rules on mandate contracts apply to it (art. 750 of the Civil Code).
Management board resolution changing a company's address (Poland)
A resolution of the management board of a Polish limited company (sp. z o.o.) moving its address within the town of its registered seat: the resolution number, company name and KRS number, the new address, the effective date, the vote and the board members' signatures. The articles name only the town, so no shareholders' meeting or notary is needed — but the change must be filed with the KRS within 7 days, and only electronically.
Shareholders' resolution appointing a management board member (Poland)
A resolution of the shareholders' meeting of a Polish limited company appointing a management board member: the person's details and PESEL, the role, the term, the effective date, the secret ballot and its result, and the chair's and minute-taker's signatures. It notes that the change is filed with the KRS within 7 days together with the appointee's consent and address for service — the statement for that is a separate document in the catalogue.
Consent to appointment to a management board, with address for service (Poland)
The statement of a person appointed to a Polish company's management board, attached to the KRS filing: consent to the appointment and the role, the address for service required by art. 19a of the National Court Register Act, and a statement that none of the bars in art. 18 of the Commercial Companies Code applies. Consent is not needed where the person signs the filing personally or consent is recorded in the minutes of the appointing body.
