Copyright assignment agreement (Romania)
The agreement by which an author in Romania — a designer, a programmer, a photographer, a writer — assigns a company the economic rights in a work, with everything Law no. 8/1996 requires on pain of annulment: the rights assigned and, for each, the uses, the term and the extent of the assignment — territory included — and the pay; it also says whether the assignment is exclusive. Moral rights stay with the author, because the law does not let them be assigned.
Cohabitation agreement between partners (Romania)
The written agreement between two partners in Romania who live together without being married: the legal title to the home, how costs are shared, what belongs to each, how things bought together are divided, and how long they have to settle up after separating. Romanian law has no registered partnership, so without such an agreement none of this is written down anywhere.
Settlement agreement (Romania)
The agreement by which two parties in Romania end or prevent a dispute through mutual concessions (art. 2267 of the Civil Code): what the dispute is about, what each side accepts, the sum and payment date, and any claims left over. If a case has started, a court can confirm the settlement in a judgment; notarised, it is an enforcement title in its own right.
Services agreement with a sole trader (PFA) (Romania)
The agreement with a PFA or another independent professional in Romania, written so that the relationship stays a collaboration, not employment: the provider sets their own hours and place, works with their own means, may have other clients, bears the risks and pays their own tax and contributions. The Tax Code treats as wages the income from work that fails at least four of its seven tests of independence.
Non-compete clause addendum to an employment contract (Romania)
The addendum with a non-compete clause that applies after the employment contract ends, with every element without which the clause has no effect (art. 21 of the Romanian Labour Code): the activities barred, the third parties, the area, the length — 2 years at most — and the monthly indemnity of at least 50% of the average gross pay of the last 6 months.
Services agreement (Romania)
The agreement by which a provider — a company or a registered sole trader — performs services for a client in Romania: what is and is not included, the term, the price and payment term, invoicing through RO e-Factura, acceptance and objections, the liability cap, force majeure and termination. Under the Romanian Civil Code a services contract is an antrepriză (art. 1851), and the agreement fills in what the law leaves to the parties.
Loan agreement between private individuals (Romania)
The agreement for a loan of money between relatives, friends or acquaintances in Romania: the sum, how and when it is handed over, the repayment schedule, interest and what happens on late payment. It states the rule that makes excessive interest between private persons void — no more than the legal rate plus 50% a year (Ordinance no. 13/2011) — and that, notarised, it becomes an enforcement title.
Telework addendum to an employment contract (Romania)
The addendum by which a Romanian employer and employee agree on telework, with every element Law no. 81/2018 requires: days at the office, when and how the employer checks the work, how hours are recorded, the equipment and costs the employer covers, health and safety, data protection and the steps against the teleworker being cut off from colleagues. The telework location has not been compulsory since 2021, but the parties may agree on one.
Confidentiality clause addendum to an employment contract (Romania)
The addendum by which an employee in Romania undertakes not to disclose information learned during the contract, while it lasts and after it ends (art. 26 of the Labour Code): what is confidential, how long the duty lasts after leaving, and what cannot be forbidden — public information and reports protected by law. A breach gives rise to damages.
Mutual non-disclosure agreement (Romania)
The agreement between two companies in Romania that share sensitive information before deciding whether to work together: what is confidential and what is not, the purpose it may be used for, who may see it, how long the duty lasts, return at the end, and a penalty for each breach, owed without proof of loss. It protects both sides equally.
Agreement ending an employment contract (Romania)
The agreement by which a Romanian employer and employee end the employment contract on an agreed date, without notice or a reason (art. 55(b) of the Labour Code). It fixes the last working day, the final pay — including payment for untaken leave — and the return of company property, and leaves room for any extra sum negotiated. It cannot contain the employee waiving statutory rights.
Fixed-term employment contract (Romania)
A Romanian fixed-term employment contract on the same framework model, with what sets it apart: the end date, the reason for the fixed term — one of the closed list of cases in art. 83 of the Labour Code — and the shorter probation art. 85 allows. It cannot run for more than 36 months, and the same parties may sign at most three such contracts in succession.
Permanent employment contract (Romania)
A Romanian permanent employment contract, following the framework model in Order no. 2171/2022, which replaced the old Order no. 64/2003: the parties, probation, place of work, job with its COR code, working time and schedule, leave, salary and pay date, notice periods, duties, the risks of the job, evaluation criteria, training and each side's rights and obligations, from letter A to T. It must be signed and entered in the general employee register by the day before work starts.
Rent change addendum to a rental agreement (Romania)
The addendum by which a landlord and tenant change the rent under an existing Romanian tenancy. The rent cannot be raised unilaterally: the new amount, the date it applies from and the confirmation that the rest of the agreement stands are signed by both. The landlord registers the change with ANAF within 30 days on form C168.
