Members' written resolution and general meeting minutes (Cyprus)

The document by which the members of a Cypriot company pass resolutions, either at a general meeting, when it serves as the minutes, or by written resolution without a meeting, valid once every member entitled to vote has signed, as many articles allow. It covers the company's details with its HE number, the members and their shares, whether the resolutions are ordinary or special, their text, the vote, and authority to file whatever must go to the Registrar of Companies. A special resolution needs a three-quarters majority and 21 days' notice (section 135 of Cap. 113).

Telecoms complaint and contract termination (Cyprus)

Ending a gym membership (Cyprus)

Mutual confidentiality agreement between businesses (Cyprus)

The agreement by which two businesses in Cyprus, before a possible collaboration, undertake to keep confidential the information they exchange: the purpose, what is and is not confidential, use only for the purpose, who may see it, how long it lasts, return or destruction, and what happens on breach, including damages and an injunction. Law 164(I)/2020 protects as a trade secret only information whose holder has taken reasonable steps to keep it secret, and this agreement is one of them. It contains no non-compete (section 27 of Cap. 149).

Payment demand between businesses (Cyprus)

The letter by which a business in Cyprus demands that another pay overdue invoices: the basis of the debt, the list of invoices, the principal, late-payment interest, compensation for recovery costs, a deadline and the account to pay into. Under Law 123(I)/2012, interest at the ECB reference rate plus eight percentage points and the flat €40 compensation are due without any reminder. It also serves as the letter of claim the Civil Procedure Rules require before a claim for a sum of money, giving 14 days for a written reply. It is sent by registered post or by hand against a signature; if it goes unanswered, a claim in the District Court follows.

Acknowledgement of debt and repayment undertaking (Cyprus)

A written statement by which a debtor in Cyprus acknowledges owing a creditor a set sum, and what for, and undertakes to repay it on a schedule with a final date. The creditor accepts it by signing and takes no legal action while the schedule is kept; if two instalments are missed, the whole balance falls due at once. A contract claim is time-barred after six years, and the debtor's written acknowledgement interrupts limitation, which starts running again. No stamp duty is payable.

Loan agreement between private individuals (Cyprus)

A written agreement for a loan of money between private individuals in Cyprus — relatives, friends, acquaintances: both parties with their identity card or ARC numbers, the sum in figures and words, how and when it is paid out, the repayment schedule, the interest or an agreement that the loan is interest-free, and what happens on late payment. You set the rate, within the limit of article 314A of the Criminal Code. Signed, and with the bank's record of the transfer, it proves the claim in the District Court. Since 2026 it needs no stamp duty.

Request for a certificate of studies (Cyprus)

The written request to a school in Cyprus for a copy of the leaving certificate (apolytirio), a certificate of studies with the marks for each year, or a certificate of attendance: the graduate's details as the school keeps them, the name while at school if it has changed, the year of graduation, the number of copies and the purpose. Parent's note justifying a pupil's absence (Cyprus)

The note in which a parent or guardian of a pupil at a school in Cyprus justifies the child's absence in writing: the dates, the class, the reason (illness, a medical appointment or a serious family reason) and whether a doctor's certificate is attached. In a primary school, more than five days' absence for health reasons needs a doctor's certificate unless the head is satisfied otherwise. In a gymnasium or lyceum, the note is handed in on the pupil's return and within five working days at the latest, two in May and June.

A Cypriot company's resolution appointing a new director, removing a director or recording a resignation under the Companies Law, Cap. 113: the company's details with its HE number, how the decision is taken, the director's details with identity card, passport or ARC number, the date it takes effect, the appointee's acceptance and who files. Motor accident claim to an insurer (Cyprus)

A written claim by which someone harmed in a road accident in Cyprus asks for compensation directly from the at-fault vehicle's insurer, or from the Motor Insurers' Fund where that vehicle was uninsured or untraced. It describes the accident, both vehicles, the damage and the amount, asks for a claim number, a reasoned offer or reply, an inspection of the vehicle and payment to an IBAN, and reserves the right to go to court. It is sent by registered post or delivered against a signature; to the Fund it goes with the Fund's own claim form.

Vehicle handover record for the buyer (Cyprus)

The record of exactly when the buyer took the vehicle: date and hour, mileage, fuel, keys, documents, accessories and condition. In Cyprus the transfer at the Road Transport Department, on form TOM 9Γ, can come days after handover, and until then the seller remains the registered owner, to whom camera fines are sent. The record proves who had the vehicle and from when the buyer bears it, and records the buyer's insurance and the deadline for the transfer.

Used vehicle sale agreement (Cyprus)

A private agreement for the sale of a used car or motorcycle between individuals in Cyprus: the vehicle, the price and payment, handover, condition and known defects. The agreement does not change the registered owner — that is done with form TOM 9Γ at the Road Transport Department or a citizen service centre (KEP), with insurance in the buyer's name. So it binds both to complete the transfer by a set date, records the vehicle's status as to manufacturer recalls, which the Department has checked since February 2025, and puts fines on the buyer from handover.

Owner's authorisation to drive a vehicle (Cyprus)

Insurance first: in Cyprus the policy must cover the driver, by name or under its age and experience terms, or whoever drives is uninsured, whatever authorisation they hold. Request for a tax clearance certificate (Cyprus)

A request to Cyprus's Tax Department for a tax clearance certificate, asked for, for example, when bidding in a public tender or renewing a work permit. It gives the purpose and the date the certificate is needed by, states whether the tax returns have been filed and whether any tax is owed or paid in agreed instalments, and asks for any outstanding item to be notified in writing. The Department takes such requests by e-mail to its district offices; for VAT, the certificate is issued only through Tax For All (TFA).

A request to Cyprus's Tax Department to pay overdue tax in monthly instalments: the debt, the number and amount of instalments you propose, the first payment and the reasons. Objection to a tax assessment (Cyprus)

An objection to the Commissioner of Taxation against an assessment issued by Cyprus's Tax Department, under s. 20 of Law 4/1978: the notice of assessment, the extent of the objection, the grounds, the evidence and the request for revision. Since 1 January 2026 it is filed within 60 days of the date the assessment is issued, no longer by the end of the following month. It states whether the year's tax return has been filed or is filed with it and, for a partial objection, that the undisputed tax has been or is being paid. It is for taxes such as income tax and the special defence contribution; a VAT objection is a separate procedure, filed only through Tax For All (TFA).

Will (Cyprus)

A will under the Cypriot Wills and Succession Law (Cap. 195): an executor and a substitute, specific gifts, the rest of the estate and its shares, revocation of earlier wills or only for property in Cyprus, and a choice of the law of your nationality under EU Regulation 650/2012. It is signed at the end before two witnesses present at the same time, and the testator and both witnesses sign or initial every sheet. Note: where Cypriot law governs the succession — as it does for someone habitually resident in Cyprus who has not chosen another law — anyone who leaves a spouse, children or parents can leave only part of their estate freely.

Spouses' statement of property (Cyprus)

A joint statement in which two spouses or civil partners in Cyprus record what belongs to each, when and how it was acquired — before the marriage, by gift, by inheritance — what is shared and who contributed to what. Under Law 232/1991, if the marriage ends, a spouse who contributed to the increase in the other's property can claim a share of it, and the contribution is presumed to be one third unless shown otherwise. A statement signed in calmer times is evidence of exactly that. It waives no rights and transfers no property.

A private agreement between two partners living together in Cyprus without marriage or a civil partnership: the shared home and who has a right to it, how expenses are split, what belongs to each and what is shared, and how they settle up if they separate. The law does not regulate informal cohabitation, so the agreement records what would otherwise have to be proved. It is not a civil partnership: that is entered into under Law 184(I)/2015, by any couple, and has the effects of marriage except adoption.

The power of attorney for one particular matter in Cyprus: a step at the Land Registry, at a bank or before another office. It describes the act precisely, the limits and how long it lasts, ends when the act is done, and is signed before a certifying officer or at a Citizen Service Centre (KEP), which certifies the signature. For use abroad it also needs an apostille. A narrow power exposes the principal less.
